Terms of Service

1. Agreement to Terms

By accessing or using ActionItem ("the Service"), operated by ActionItem ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

ActionItem is a cloud-based board governance platform that provides meeting management, agenda and minutes creation, voting, decision tracking, action item management, and related tools for organizations.

3. Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Subscriptions and Billing

Paid plans are billed monthly or annually in Canadian Dollars (CAD). All plans include a 30-day free trial. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Refunds are provided at our discretion.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or its infrastructure
  • Upload malicious code or content
  • Use the Service to send spam or unsolicited communications
  • Resell or sublicense the Service without our written consent

6. Your Data

You retain ownership of all data you upload to the Service ("Your Data"). We do not claim ownership over Your Data. You grant us a limited license to host, store, process, and display Your Data solely for the purpose of providing the Service to you.

7. Data Security

We encrypt sensitive data at rest and in transit. We use industry-standard security measures to protect your information. However, no method of electronic storage is 100% secure, and we cannot guarantee absolute security.

8. Data Residency

All data is stored on servers located in Canada. We do not transfer your data outside of Canada except where necessary to provide the Service (e.g., email delivery via third-party providers).

9. Termination

We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days after termination, after which it may be permanently deleted.

10. Limitation of Liability

To the maximum extent permitted by law, ActionItem shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
